BIG PROBLEM!
it seems as though opened files via file()
are staying open and preventing service from openeing new files giving
errors.
I checked this with sysineternals utility called handle

This bug has been fixed in CVS.
In case this was a PHP problem, snapshots of the sources are packaged
every three hours; this change will be in the next snapshot. You can
grab the snapshot at http://snaps.php.net/.
In case this was a documentation problem, the fix will show up soon at
http://www.php.net/manual/.
In case this was a PHP.net website problem, the change will show
up on the PHP.net site and on the mirror sites in short time.

Thanks for testing this; one line of the old code was accidentally left
in the 4.3 branch; human error (mine).
I've tested this using PHP 4.3; benchmarked at 4 seconds (using same
script and file as mentioned previously).
The next snapshot will have the fix.

still yields the same results as before. no change
although Latest CVS (5.0.x-dev) is fast as shit.
