Don't use double quotes if you don't want escape sequences to be expanded.
$Text = 'D:\AppServ\www\intranet\admin\store\nodirectory\sub';
$Replace = 'D:\AppServ\www\intranet\admin\store';
$with = 'http://localhost/bank/admin/store';
