You have to use the PHP4isapi.dll from swwwing.
Zend or PHP (I do not have a clue about the internals) seems to do version
check, Thus you have to use an extension which has the same Build # as your
main php4 binaries.
At least that is what I have experienced.
BTW: I have GD working on WinNT, IIS4 with PHP4isapi and it works great.
