You should be using php-cgi.exe rather than php.exe.
I have prepared the installer for php5 which is being tested at the moment.
You can download a copy from
http://www.dialsolutions.com/phil/php/php-5.0.0-installer.exe
It works fine as a cgi with IIS on my W2K advanced server.
