as mentioned by mike above... Following code worked
LoadFile "C:/php/php5ts.dll"
LoadModule php5_module "C:/php/php5apache2.dll"

There are only four steps
1. Install Apache 2.2
2. Install php 5.3.8 at c:\php
3. Download php5apache2_2.dll php5ts.dll from http://kromann.info/download.php?strFolder=php5_2-Release_TS&strIndex=PHP5_2
and copy it to folder c:\php\
4. Update httpd.conf file and add the code mentioned above and start apache server....
