On Winnt 4.0 SP5, with the latest Apache release, I just upgraded from PHP3 to PHP4. Everything is smooth (with a few hiccups..mostly php.ini and httpd.conf fiddling)...even connecting to Access 97 without a problem. But if you're getting a referenced memory error, that usually represents a corrupted dll or registry key. I wish I could be more helpful...last time I got that kind of error, I, sadly, reformatted and reinstalled...wasn't for PHP or Apache though... Wish I could be more help.
