PHP 4.3.1 or 4.2.1 on Windows 2000 SP3 IIS4 .. get 404 errors

Ok i've tried everything .. i'm sure i'm missing something stupid but
NOTHING works ..
php is installed in c:\php (and yes all users have full access to this
directory and the web directory, as a last resort i'm even running anonymous
access on the website as administrator !)
website is c:\swg
I've got a phpinfo.php file which is a simple <? phpinfo(); ?> call
I've setup IIS to use the CGI bin (and even tried the isapi filter in 4.3.1)
.. i've got script execute permissions on, its calling "c:\php\php.exe" %s
%s, nothing
Ideas ?
