Try changing the reference to Zend Optimizer in you php.ini to use
*front-slashes* instead of *back-slashes* in you php.ini. Apache Module mode
only wants to see Unix-style directory names, so make sure EVERYTHING in php.ini
which specifies a directory uses front-slashes (including extension_dir,
etc.)... although my Zend settings in php.ini are the following:
zend_optimizer.optimization_level=15
zend_extension_ts="C:\php\extensions\ZendOptimizer.dll"
Hmmm.... what versions of php4 and Zend Optimizer are you running, and where did
you get them? Zend Opt. is very specific about running with a MATCHED version
of php.

Extensions should be placed in whatever directory is referenced by your
"extension_dir" setting in php.ini.
