This is a vague response but there is a Win32 program that allows you to do
just what you describe. I had a look at it at it was quite good a few months
ago.
You may wish to ask the php-windows group if nobody responds with a URL...
because i cant remember the name.
Out of interest why would you want to send someone a CD with PHP on it? The
only cases i can think of is if you are distributing large files (like
video's) and need a front end... or your users are really disconnected.
Another option you have is to set up your site on your own web server with
PHP and use a script to capture the output of all the pages as static pages
and whack these on your CD. You would need some sort of spider/robot program
and probably should make all you links use / instead of & (which im told is
possible but never really tried).

I'm running a web site where I also want to be able to deliver a version on
CD-ROM. The live web site contains links to PHP files, which obviously
won't work if the end user is accessing the CD-ROM from their home
computer. Right now, if the user clicks a link to a .php served from the
CD, the browser fills the window with PHP source -- obviously not the best
solution.
Yes, I could produce a version which does not use PHP -- the links instead
go to pages that say 'you have to be online to use this'. However, I don't
want to get into multiple versions if I don't have to.
I'm going to check out Javascript to see if there's a way to differentiate
the cases. Has anyone come up with a better solution for this?
